International Terms for LiveRamp Sidecar and Envelope Services

The following terms govern the usage of LiveRamp’s Sidecar Software Appliance and LiveRamp’s RampID Envelopes (“LiveRamp ATS Services”) in certain Approved Geographies:

  1. Compliance with Data Protection Law. Each party represents, warrants and undertakes to the other that, with respect to the LiveRamp ATS Services,  it shall comply with all applicable Data Protection Laws in addition to any contractual obligations.
  1. Data Protection Laws” means all applicable laws relating to data protection and privacy including (without limitation):
      1. the EU General Data Protection Regulation 2016/679 (“GDPR”) and any and all national implementing legislation (Information received through the LiveRamp ATS Services shall be considered secured personal information (as considered “pseudonymous” under the GDPR).
      2. Directive 2002/58/EC on privacy and electronic communications and any and all national implementing legislation;
      3. the UK Data Protection Act 2018 and any related local laws and/or replacement regulation of (i) or (ii) after the UK has left the EU;
      4. Brazilian Law N° 13709/18 (“LGPD”), as well as any other applicable laws and regulations relating to data protection and privacy and  Brazilian Law N° 12,965/14;
      5. Argentinian Personal Data Protection Law No. 25,326, the Decree No. 1558/2001, and its complementary regulations issued by the enforcement local authority (Agencia de Acceso a la Información Pública and Direccón Nacional de Protección de Datos Personales), and all amendments to or replacements of the mentioned legislation; and
      6. any other law, regulation or guidance from relevant regulators relating to the protection of Personal Data or the privacy of individuals, each as amended from time to time.
  1. Client agrees that it shall be responsible for dealing with and responding to all requests made by data subjects under Data Protection Law which relate to the LiveRamp ATS Services.
  1. In the event that LiveRamp receives a request from a data subject or from the enforcement authority which relates specifically to the LiveRamp ATS Services, it shall forward that request to Client without undue delay.
  1. Client Warranties.  Client represents and warrants that:
    1. that the provision of the Client Data to LiveRamp if and where it falls under the scope of the Data Protection Law, and its subsequent use by LiveRamp for the purposes contemplated by the SOW will not violate Data Protection Law, or any agreements between Client and any third parties;
    2. if and where required by the Data Protection Law, that it will provide a valid notification to the data subjects of the Client Data, in accordance with Data Protections Laws as applicable in each territory, which explains (with the necessary level of detail) the sharing of the Client Data with LiveRamp (naming LiveRamp and linking to the LiveRamp privacy policy) for the purpose of targeted advertising;
    3. if and where required by the Data Protection Law, that it will obtain the valid, free, express and informed consent of the data subjects of the Client Data (in accordance with the Data Protection Law) for LiveRamp and Client’s processing activities and purposes specified for the ATS Services (including any IAB Transparency and Consent Framework (TCF) purposes specified by LiveRamp to the Client for use of the Services in the EEA and the UK); and
    4. that it will keep records that demonstrate that the Client has obtained such valid consents, which it shall make available to LiveRamp upon written request.
    5. In the EEA and the UK, given the nature of the requirements outlined above and the guidance of the regulators, it shall have operational controls in place to check for a TCF string for LiveRamp and Client’s processing activities and purposes (reflecting permission for any IAB Transparency and Consent Framework (TCF) purposes specified by LiveRamp to the Client) prior to using the Liveramp ATS Services to send RampIDs on Client’s inventory via its supply side platform to those DSPs for which the Client has received a consent signal  to allow those DSPs to purchase Client’s inventory.
  1. Approved Geographies.  The following are Approved Geographies:
  • France
  • The UK
  • Germany
  • Italy
  • Spain
  • Belgium
  • The Netherlands
  • Romania
  • Poland
  • Brazil
  • Argentina

LiveRamp reserves the right to discontinue service in any Approved Geography at any time and for any reason.

  1. Change in Law. The Parties acknowledge that: (i) the state of the law with respect to privacy, including without limitation, behavioral advertising, contextual advertising, cookies, personal information, and informational privacy is unsettled; and (ii) new or changes in existing applicable local, state, federal, and international laws, rules, and regulations (a “Change in Law“) may limit or prohibit the delivery of, access to, or use of certain or other activities as contemplated herein. Neither Party makes any representations or warranties with respect to such Changes in Law; moreover, each Party hereby expressly disclaims any representations, warranties, guarantees, covenants, or obligations relating thereto
  1. Brazilian Dispute Resolution. In accordance with Article 25 of the New Brazilian Code of Civil Procedure, any dispute between the Parties relating to the Services provided in Brazil will be exclusively settled by the competent jurisdiction agreed by the Parties in the Agreement.
